This Content Licensing and Distribution Agreement (“Agreement”) is entered into between P R Y Digital Media (hereinafter referred to as “Company”), and You (“Artist”, “Label”, or “Rights Holder”).
By accessing or using our Digital Distribution System, You agree to be legally bound by the terms stated below. This Agreement becomes effective from the date of acceptance (“Effective Date”).
You hereby grant P R Y Digital Media an exclusive, worldwide, transferable and sublicensable license to distribute, monetize, promote, stream, reproduce, communicate to the public and exploit your Music Catalogue across digital platforms during the Term.
You represent and warrant that You are the sole copyright owner or authorized rights holder of the Sound Recordings uploaded and that no third-party rights are infringed.
P R Y Digital Media shall share revenue as follows:
Minimum withdrawal threshold may apply. All payments are subject to platform deductions, taxes and charges.
You will receive access to an online dashboard to:
Reports are based on data received from platforms and may be subject to revisions.
The Agreement shall remain valid for one (1) year from the Effective Date and automatically renew unless terminated in accordance with this Agreement.
The Company may terminate this Agreement for breach, fraud, copyright conflict, or legal non-compliance. Termination for convenience may be made with notice.
You agree to indemnify and hold harmless P R Y Digital Media from any claims, damages, or losses arising from copyright infringement or breach of this Agreement.
P R Y Digital Media shall not be liable for indirect, incidental or consequential damages. Maximum liability shall not exceed 50% of revenue paid to You.
All proprietary systems, reports and data shared through the Digital Distribution System are confidential and must not be disclosed to competitors.
This Agreement shall be governed by the laws of India. Any disputes shall fall under the jurisdiction of Indian courts.
By continuing to use our services, You acknowledge that You have read, understood and agreed to the terms and conditions stated in this Agreement.
